Every Company registered under the Companies Act needs to file annual returns with the Ministry of Corporate Affairs (MCA). Delay or nonfiling of return attracts heavy interest and penalties. Company Annual Filings refers to the filing of Audited Annual Financial Accounts of the Company along with Directors Report and Annual Return of Company with Registrar of Companies. These yearly filings are mandatory for every registered Company whether the Company carries on business or not. ROC Annual Filing requires conducting an Annual General Meeting and filing annual accounts with ROC. AGM must be held within 6 months from the end of the financial year i.e. 30th September every year. In the case of new companies, the first AGM should be held within 18 months from the date of incorporation or 9 months from the close of the financial year whichever is earlier.
